Company setup costs in Turkey: what you actually pay for

You will find many ready-made totals online. In practice the cost depends on the year, the city, the number of shareholders and the countries their documents come from. Instead of a single figure, this guide lists the cost items and which of them are set by law.

What does it cost a foreign investor to set up a company in Turkey?

The cost consists of the share capital to be paid in (at least TRY 50,000 for a limited company and TRY 250,000 for a joint stock company), the competition authority fee of 0.04% of the capital, trade registry and chamber fees and the announcement fee, notary fees, apostille and translation of foreign documents, and advisory fees. Official fees are updated every year, so exact amounts should be confirmed before incorporation.

The competition authority fee

Under Article 39/c of Law No. 4054 on the Protection of Competition, newly founded joint stock and limited companies pay 0.04% of their founding capital as the competition authority fee. In capital increases, 0.04% of the increase is paid. According to the Competition Authority, these payments have been made to the relevant chamber of commerce (or of commerce and industry) since 1 January 2018.

Example: for a joint stock company with TRY 250,000 capital, the fee is 250,000 × 4/10,000 = TRY 100.

Extra costs when a shareholder is foreign

  • Legalisation: apostille or consular legalisation of passports, foreign company documents and powers of attorney
  • Translation: sworn Turkish translation of foreign documents and notarisation where required
  • Power of attorney: for a representative if the foreign shareholder is not in Turkey
  • Tax number: obtaining Turkish tax numbers for foreign shareholders

These amounts depend on the number of shareholders, whether a shareholder is a company and the country where the documents are issued.

Running costs in the first year

  • Work permit procedures for foreign employees

Frequently asked questions

Is the share capital a cost?

No. Capital is the company's equity and is used in its business. The part that must be paid at incorporation should still be included in your cash plan. In joint stock companies at least one quarter of the cash capital is paid before registration.

Why is there no total figure in this guide?

Trade registry and chamber fees, notary fees and announcement fees are updated every year, and translation and apostille costs vary by number of shareholders and country. A general total can be misleading; a cost list based on your structure is more reliable.
